Grant Douglas Johnson of Boca Raton, Florida, a stockbroker registered with Noble Capital Markets Inc., has been fined $15,000.00 and suspended for six months from associating with any Financial Industry Regulatory Authority (FINRA) member in any capacity because Johnson participated in private securities transactions. Letter of Acceptance, Waiver, and Consent No. 2022076763001 (February 8, 2024).

According to the AWC, between February of 2021 and February of 2023, while associated with Noble Capital, Johnson engaged in private securities transactions without notifying his firm. He was a minor owner of a company managing special purpose vehicles (SPVs) for private offerings. Johnson invested $210,000.00 and then discussed these offerings with seven potential investors. Those customers collectively invested $400,000.00 in the offerings. He violated FINRA Rules 2010 and 3280 by not disclosing his activities and not obtaining written approval from the securities broker dealer.

Johnson was associated with R. F. Lafferty Co. Inc. in New York, New York from March 17, 2023, to November 28, 2023. Prior to that, Johnson was associated with Noble Capital Markets Inc. in Boca Raton, Florida from February 3, 2021, to February 3, 2023, and Advisory Group Equity Services Ltd. in Westport, Connecticut from March 8, 2017, to February 2, 2021.
